ChiroPage Master Service Agreement

1. Service Overview

ChiroPage provides professional website management and hosting specifically for the chiropractic industry.

  • Managed Service Only: To maintain platform security and design integrity, ChiroPage does not provide a client login mechanism. All edits, updates, and technical maintenance are performed exclusively by ChiroPage staff.

  • Content Sourcing: We use only user-provided content. Clients are solely responsible for the accuracy, legality, and ownership of all text, images, and data submitted.

2. Billing and Payments

All services are billed via Square on a recurring monthly basis.

  • Automatic Payments: Invoices are paid via monthly automatic withdrawal from a credit card or bank account.

  • Past Due Status: Invoices are considered past due if unpaid 14 days after the issue date.

  • Suspension: Websites on past-due accounts will be suspended. Monthly invoices will continue to be issued until the service is officially cancelled.

  • Reinstatement: Following a cleared payment of the full balance, the website will be reinstated within one (1) business day.

  • Chargebacks/Disputes: In the event of a chargeback or payment dispute on an active account, the account will be suspended within 48 hours for nonpayment. The client shall be liable for the full disputed amount plus all associated bank fees and a 20% administrative surcharge. We reserve the right to void all promotional pricing, requiring the client to re-subscribe at then-current market rates to restore service.

3. Updates and “Fair Use” Policy

Your subscription includes unlimited content updates, subject to the following management terms:

  • Rate Limiting & Pacing: To ensure equitable service for all clients, ChiroPage applies a “Fair Use” queuing system. Once a client’s update request has been completed, other clients waiting in the queue will be served before that same client’s next request is addressed.

  • Design Integrity: ChiroPage reserves the right to decline updates that would fundamentally alter the site template or design.

  • Platform Stability: We reserve the right to decline updates that affect other users on the platform, such as the addition of custom WordPress plugins.

  • Authorization: All update requests received via email or text are regarded as approved by the business owner. Clients may request a specific “Authorized Personnel” list or passcode requirement by contacting us in writing (via email or text message from business owner’s email or phone).

4. Intellectual Property

  • Design Ownership: Web designs and templates are the property of the respective designers whose work is licensed by ChiroPage.

  • Client Ownership: All original content (copy, personal photos, practice-specific branding) provided by the client remains the property of the client.

5. Liability and Indemnification

  • No Liability Claims: ChiroPage, its owners, and staff shall not be held liable for any claims, losses, or legal actions arising from the use or inability to use the service.

  • Consequential Damages: ChiroPage is expressly not responsible for consequential, indirect, or incidental damages, including but not limited to: lost practice revenue, loss of potential patient leads, damage to professional reputation, or business interruption costs.

  • Third-Party Disputes: In the event of a copyright or legal dispute regarding client-provided content, ChiroPage will pass all communication to the client. ChiroPage accepts no responsibility for content provided by customers.

  • Legal Fees: Any fees or fines assessed to ChiroPage due to legal proceedings regarding a client’s website shall be passed on to that client at a rate of 150%.

6. Uptime and Backups

  • Uptime Goal: We maintain a 99.5% uptime goal. Clients may request a service credit of 1/30th of their monthly charge for each day they discover and report downtime. Repeated requests may require verification via a third-party monitoring service.

  • Backup Protocol: ChiroPage backs up all content and websites. A full backup is triggered automatically every time ChiroPage staff updates a specific page. Restoration to the latest backup is provided as part of the service.

7. Cancellation and Domain Policy

  • Termination: Clients may cancel via their Square dashboard, Square invoice, Square receipt, or by providing notice via email or text.

  • Effective Date: Cancellation is effective on the date the next Square invoice would have been issued. Content is deleted from our servers on or after this date.

  • Domains: Domains held by ChiroPage will remain active for six months or until the next renewal date (whichever is later) if not transferred.

  • Transfer Requirements: Accounts must have a $0 balance before a domain transfer will be authorized or released. Accounts in a dispute/chargeback status will not have domain transfers granted until the account reaches a $0 balance including all bank fees.
